1. Introduction & Acceptance of Terms

Welcome to Tlazohtla Collective (the "Community" or "Platform"). This Terms of Service ("Terms") is a binding legal agreement between you ("you," "your," or "client") and Somatic Curiosity Coaching LLC, a Colorado limited liability company (the "Company," "we," "us," or "our").

1.2 What This Covers

These Terms govern your access to and use of:

  • The Tlazohtla Collective website at www.TlazohtlaCollective.com
  • Coaching services provided directly by the Company
  • Related content, tools, and community features

1.3 Binding Agreement

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Platform.

1.4 Capacity to Enter Agreement

You represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

Tlazohtla Collective is a brand and community operated by Somatic Curiosity Coaching LLC. We are a single LLC providing our own coaching services and curating independent coach/practitioners for awareness purposes. We do not operate as a partnership, joint venture, or legal entity on behalf of the broader collective.

3. Nature of Services

3.1 Company Coaching Services

The Company offers its own coaching services, which may include:

  • Personal coaching sessions
  • Business coaching for practitioners
  • Group coaching programs
  • Educational workshops or content

All Company coaching services are subject to a separate Client Coaching Agreement that must be signed prior to beginning services.

3.2 Independent Coach/Practitioner Directory

Tlazohtla Collective maintains a curated directory of independent coach/practitioners. Important distinctions:

  • Independent coach/practitioners are NOT employees, agents, or partners of the Company.
  • Each independent coach/practitioner operates as a separate business entity with their own terms, pricing, payment processing, and refund policies.
  • The Company does not supervise, control, or endorse the services, methods, or advice provided by independent coach/practitioners.
  • The Company collects payment only for its own services. Independent coach/practitioners process their own payments through their separate platforms.

3.3 No Guarantee of Outcomes

Coaching is not therapy, medical treatment, counseling, or legal advice. We do not guarantee specific results, transformations, or outcomes from any coaching relationship. All progress depends on your participation, commitment, and individual circumstances.

While we offer tools, space, and companionship, you are responsible for your own transformation journey.

4. Independent Coach/Practitioner Relationships

4.1 What You Need to Know

When you engage with an independent coach/practitioner from our Community, understand the following:

4.2 Your Acknowledgment

By using our platform, you acknowledge and agree that:

  1. No Agency Relationship Exists. Independent coach/practitioners are independent contractors operating their own businesses. The Company is not their agent, employer, or partner.
  2. Separate Contracts. When engaging with an independent coach/practitioner, you enter into a separate agreement with THAT COACH—not the Company.
  3. Due Diligence Is Your Responsibility. You are responsible for researching, evaluating, and selecting independent coach/practitioners based on their qualifications, reviews, and alignment with your needs.
  4. Limited Role of the Company. The Company curates coaches based on experience, expertise, and values alignment but does not assign, verify credentials, monitor conduct, or guarantee competence.
  5. No Vicarious Liability. The Company is not liable for any harm, damages, or losses arising from your interactions with independent coach/practitioners.

4.3 Reporting Concerns About Independent Coach/Practitioner

If you have concerns about an independent coach/practitioner:

  • Contact the coach directly first
  • Notify the Company at [email protected]
  • The Company may investigate at its discretion
  • Remedies are against the coach, not the Company

5. Registration & Account Terms

5.1 Account Creation

To use certain features, you may need to create an account. You agree to:

  • Provide accurate and complete information
  • Maintain current contact details
  • Keep your login credentials confidential
  • Notify us immediately of unauthorized account use

5.2 Account Suspension

We reserve the right to suspend or terminate accounts for:

  • Violation of these Terms
  • Fraudulent or abusive behavior
  • Harm to other users or the Company

5.3 Your Responsibilities

You agree to:

  • Use the Platform only for lawful purposes
  • Respect other users' dignity and privacy
  • Not interfere with Platform functionality or security
  • Not attempt to access data that is not yours

6. Fees & Payment

6.1 Company Services

Payment for Company coaching services:

6.2 Independent Coach/Practitioner Services

Payment for independent Coach/practitioner services is processed entirely by the independent coach/practitioner. The Company:

  • Does not collect, store, or manage these payments
  • Is not responsible for refunds or disputes with independent coach/practitioners
  • Does not guarantee payment processor reliability for independent coach/practitioners

6.3 Taxes & Additional Costs

You are responsible for any applicable taxes, fees, or charges associated with your payments, unless expressly stated otherwise by the Company.

7. Client Disclosures & Required Agreements

7.1 Mandatory Disclosure Signature

Before receiving any coaching services from the Company or an independent coach/practitioner, you must sign a disclosure agreement covering:

  • Nature of the coaching relationship
  • Limitations (not therapy, medical advice, counseling, or legal counsel)
  • Confidentiality boundaries and exceptions
  • Payment and cancellation terms
  • Risk acknowledgment and waiver

Failure to sign required disclosures prohibits service delivery.

7.2 Client Coaching Agreement

Services provided directly by the Company require a separate Client Coaching Agreement that supersedes these Terms in case of conflict.

8. Intellectual Property

8.1 Company Content

All content provided by the Company on Tlazohtla Collective, including but not limited to:

  • Website design, text, graphics, logos
  • Coaching materials, frameworks, methodologies
  • Audio/video recordings
  • Software and tools

is the property of Somatic Curiosity Coaching LLC and protected by copyright and intellectual property laws.

8.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes.

8.3 Restrictions

You may NOT:

  • Reproduce, distribute, or sell Company content
  • Modify or create derivative works
  • Reverse engineer any software
  • Use content for commercial purposes without written permission
  • Remove copyright or proprietary notices

8.4 Independent Coach/Practitioner Content

Content created by independent coach/practitioners remains the property of those coaches. Refer to their individual terms for usage rights.

9. Privacy & Data Protection

Your use of the Platform is also governed by our Privacy Policy, incorporated here by reference. Key points:

  • We operate below major regulatory thresholds (fewer than 100,000 consumers, no data sale revenue)
  • We do NOT sell your data or use it for targeted advertising
  • Independent coach/practitioners maintain their own privacy practices
  • You have rights to access, correct, and delete your data

10. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF CONTENT
  • CONTINUOUS OR ERROR-FREE OPERATION
  • SECURITY AGAINST UNAUTHORIZED ACCESS

We do not warrant that:

  • Your use will meet your specific needs
  • The Platform will be uninterrupted, timely, or secure
  • Errors or defects will be corrected

11. Limitation of Liability

11.1 No Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY COLORADO LAW AND OTHER APPLICABLE JURISDICTIONS, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, OR DATA
  • PERSONAL INJURY OR EMOTIONAL HARM
  • BUSINESS INTERRUPTION
  • COSTS OF SUBSTITUTE SERVICES
  • DAMAGES ARISING FROM INDEPENDENT COACH/PRACTITIONER SERVICES

11.2 Cap on Liability

YOUR TOTAL REMEDY FOR ANY CLAIM AGAINST THE COMPANY SHALL NOT EXCEED THE AMOUNT YOU PAID TO THE COMPANY IN THE LAST 12 MONTHS PRIOR TO THE INCIDENT GIVING RISE TO THE CLAIM, OR $200, WHICHEVER IS GREATER.

11.3 Independent Coach/Practitioner Liability

THE COMPANY DISCLAIMS ALL LIABILITY FOR ACTIONS, OMISSIONS, OR CONDUCT OF INDEPENDENT COACH/PRACTITIONERS. ANY CLAIMS REGARDING INDEPENDENT COACH/PRACTITIONER SERVICES MUST BE DIRECTED TO THE RESPECTIVE COACH.

11.4 Assumption of Risk

YOU ACKNOWLEDGE THAT COACHING INVOLVES PERSONAL EXPLORATION THAT MAY BRING UP DIFFICULT EMOTIONS OR MEMORIES. YOU ASSUME FULL RESPONSIBILITY FOR YOUR ENGAGEMENT AND OUTCOMES.

12. Indemnification

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS Somatic Curiosity Coaching LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AND AFFILIATES FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING OUT OF OR RELATED TO:

  • YOUR USE OF THE PLATFORM
  • VIOLATION OF THESE TERMS
  • YOUR INTERACTIONS WITH INDEPENDENT COACH/PRACTITIONERS
  • YOUR CONTENT OR COMMUNICATIONS
  • VIOLATION OF APPLICABLE LAWS

13. Termination

13.1 By You

You may terminate your account at any time by contacting us at [email protected]. Upon termination:

  • Your access to the Platform ceases immediately
  • Pre-paid fees for unrendered services may be refunded per our refund policy
  • Your data may be retained as necessary for legal/compliance purposes

13.2 By Us

We may suspend or terminate your access at any time, with or without cause, upon reasonable notice. Grounds include but are not limited to:

  • Violation of these Terms
  • Harm to other users
  • Fraud or illegal activity
  • Extended inactivity

13.3 Effect of Termination

Sections that by their nature survive termination shall remain in effect, including but not limited to:

  • Intellectual Property
  • Limitation of Liability
  • Indemnification
  • Dispute Resolution
  • General Provisions

14. Dispute Resolution & Governing Law

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.

14.2 Jurisdiction

Any disputes arising from these Terms shall be resolved in the state or federal courts located in El Paso County, Colorado, except where mandatory local consumer protection laws prohibit such venue selection.

14.3 Informal Resolution First

Before initiating formal proceedings, we encourage good-faith dialogue to resolve disputes. Contact us at [email protected] to request informal resolution.

14.4 Arbitration Option

Parties shall attempt mediation through an agreed-upon mediation company before proceeding to arbitration or litigation. Mediation shall take place in Colorado Springs, CO.

15. Modifications

We may modify these Terms at any time. The updated version will include a revised effective date. Your continued use after changes constitutes acceptance of the modified Terms.

15.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.2 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

15.3 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

15.4 Force Majeure

We shall not be liable for delays, failures, or errors caused by events beyond our reasonable control, including natural disasters, war, terrorism, government actions, internet disruptions, or infrastructure failures.

15.5 Interpretation

References to sections, articles, and paragraphs refer to those in this document. Gender-neutral language includes all genders. Singular includes plural and vice versa.

15.6 Communications

Electronic communications (email, website postings) satisfy any written communication requirements.

15.7 Non-Employment

Nothing in these Terms creates an employment, partnership, or joint venture relationship between you and the Company or any independent coach/practitioner.

15.8 No Third-Party Beneficiaries

These Terms are for the benefit of the parties only and do not create rights for any third parties, except as expressly stated herein.

16. Values-Aligned Commitments

Consistent with our stated philosophy of wholeness, accountability, and authentic relationship:

Accountability Without Exile: When mistakes happen, we commit to truth-telling, responsibility, and real change—not punishment or silence. If you believe we've breached these Terms, contact us before escalating externally.

Agency and Autonomy: Your "yes" must be a true yes. No ultimatums. You may withdraw consent or terminate services at any time.

Wholeness Over Perfection: We do not require you to be fixed, "good," or perfect to deserve fair treatment. Disputes will be addressed with respect for your humanity.

Power-With, Not Power-Over: We acknowledge that race, privilege, and systemic dynamics exist. Where these impact your experience with our services, we are committed to hearing and addressing them without requiring you to carry the full burden alone.
